Bolanle Media is committed to protecting your privacy. Please refer to our Privacy Policy for information on how we collect, use and disclose personal information.

Ownership of Site and Content

The Site is owned by Bolanle Media. Unless otherwise indicated, all of the content featured or displayed on the Site, including, but not limited to, text, graphics, data, photographic images, moving images, sound, illustrations, software, and other materials (“Bolanle Media Content”), are owned by or licensed to Bolanle Media and are protected by copyright, trademark, and other intellectual property laws. No ownership rights are transferred to you by use of the Site. Certain content available on the Site may be submitted or provided by independent photographers, videographers, designers, musicians, producers, or other content creators (“Creators”). Such content is made available to Bolanle Media pursuant to separate Creator Terms & Contributor Agreements. Bolanle Media does not obtain ownership of Creator content and instead licenses such content for distribution and sublicensing through the Site. By accessing, purchasing, or licensing such content through the Site, users acknowledge that such materials are distributed by Bolanle Media pursuant to agreements with Creators and are subject to the licenses granted under these Client Terms.

License to Use Content

Subject to your compliance with these Client Terms and any applicable license agreement associated with specific content, Bolanle Media grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site and to use Bolanle Media Content solely for lawful personal or commercial purposes expressly permitted under the applicable content license.

Unless expressly authorized in writing, you may not:

• Copy, reproduce, distribute, sublicense, sell, or resell any Bolanle Media Content.
• Remove watermarks or copyright notices.
• Create derivative works outside the scope of an applicable license.
• Use Bolanle Media Content to train, develop, improve, or fine-tune artificial intelligence systems, machine learning models, or generative technologies without the express written authorization of Bolanle Media.
• Use Bolanle Media Content in a manner that allows the content to be downloaded, extracted, or redistributed as a standalone file.
• Use Bolanle Media Content in connection with trademarks, logos, or branding in a manner that suggests endorsement or sponsorship by the creator or Bolanle Media without express written permission.
• Use Bolanle Media Content in any manner that is unlawful, defamatory, pornographic, misleading, or otherwise harmful to individuals, organizations, or the reputation of Bolanle Media or its creators.

Content available on the Site may be offered under various licensing models, including but not limited to pay-per-download licenses, subscription-based access, or other licensing structures such as editorial, standard, extended, or promotional/free licenses. License categories associated with specific content are determined by the creator who uploaded the content, subject to Bolanle Media's platform policies. Users are responsible for reviewing the license type associated with each piece of content prior to use and ensuring that their use complies with the applicable license terms.

The following license categories may be made available through the Platform:

Bolanle Media reserves the right to modify available license categories or introduce additional licensing models from time to time as the Platform evolves.

The scope of the license granted for any content obtained through the Platform is determined by the license category selected and in effect at the time the content is downloaded, licensed, or otherwise accessed. Subsequent changes to licensing categories or platform policies will not expand the rights granted under previously obtained licenses.

Compliance with Applicable Laws. Such unauthorized use may also violate applicable laws including without limitation copyright and trademark laws, the laws of privacy and publicity, and applicable communications regulations and statutes. You represent and warrant that you will comply with all applicable laws and regulations, including, without limitation, those relating to the Internet, data, e-mail, privacy, and the transmission of technical data exported from the United States or the country in which you reside.

Bolanle Media is not responsible for any fees charged by third parties in connection with payment processing or financial transactions related to licensing content through the Platform. You are responsible for all applicable taxes and any applicable third-party fees, including but not limited to credit card fees, foreign exchange fees, or cross-border transaction fees.

Artificial Intelligence and Automated Technologies

Bolanle Media may develop or implement artificial intelligence, machine learning, or other automated technologies in connection with the operation of the Platform. Such technologies may be used to support functions including, but not limited to, content search, metadata generation, recommendation systems, content moderation, analytics, and other platform features.

Any use of Bolanle Media Content in connection with such technologies will be conducted in accordance with applicable agreements with creators and applicable intellectual property laws. Unless otherwise expressly authorized by Bolanle Media, users may not use content obtained through the Platform to train, develop, improve, or fine-tune artificial intelligence systems, machine learning models, or generative technologies.

Prohibited Conduct

You agree not to:

• Use the Site for any unlawful purpose;
• Scrape, mine, or extract data using automated means;
• Reverse engineer or interfere with Site security features;
• Misrepresent your identity or affiliation;
• Use the Site in any manner that could damage, disable, or impair Bolanle Media's services.

Stored Payment Methods and Automatic Updates

You acknowledge and agree that Bolanle Media may store your payment information (including credit or debit card details) with our authorized third-party payment processor. Bolanle Media may offer purchasing options including pay-as-you-go licenses and monthly subscription plans. You further agree that we and/or our payment processor may use account updater services made available by your card issuer or network to automatically update your stored payment method details (such as new card numbers or expiration dates) to avoid interruptions in your services or subscriptions.

By providing your payment information and agreeing to these Terms, you authorize Bolanle Media to:

1. store your payment credentials,
2. update them when necessary via such services, and
3. continue charging any applicable fees to the updated payment method until you cancel or update your payment information. No refunds except as required by law.

Bolanle Media may offer various purchasing options on the Site, including individual content purchases, pay-as-you-go licensing, or subscription-based plans. Payments for licenses or subscriptions are processed through third-party payment processors, including Stripe, Inc. By providing payment information and completing a transaction, you agree to comply with the applicable payment processor's terms and policies and authorize Bolanle Media and its payment processor to charge your selected payment method for all applicable fees, taxes, and charges associated with your use of the Site.

If you enroll in a subscription plan, your subscription will automatically renew at the end of each billing period unless you cancel prior to the renewal date. You authorize Bolanle Media and its payment processor to charge the applicable subscription fees to your stored payment method on a recurring basis until your subscription is cancelled.

If any payment cannot be successfully processed, Bolanle Media reserves the right to suspend or restrict access to certain features of the Site until payment is successfully completed.

Links

You may not use a Bolanle Media logo or other proprietary graphic of Bolanle Media to link to the Site without the express written permission of Bolanle Media. Further, you may not frame any Bolanle Media trademark, logo or other proprietary information, including the Bolanle Media Content, without Bolanle Media's express written consent.

Bolanle Media makes no claim or representation regarding, and accepts no responsibility for, directly or indirectly, the quality, content, nature or reliability of third-party websites accessible by hyperlink from the Site, or websites linking to the Site. Such sites are not under the control of Bolanle Media and Bolanle Media is not responsible for the contents of any linked site or any link contained in a linked site, or any review, changes or updates to such sites. Bolanle Media provides these links to you only as a convenience, and the inclusion of any link does not imply affiliation, endorsement or adoption by Bolanle Media of any site or any information contained therein. When you leave the Site, you should be aware that our terms and policies no longer govern. You should review the applicable terms and policies, including privacy and data gathering practices, of any site to which you navigate from the Site.

Your participation, correspondence or business dealings with any third party found on or through the Site, regarding the payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such third party. You agree that Bolanle Media shall not be responsible or liable for any loss, damage or other matters of any sort incurred as the result of any such dealings.

Creator Content

The Site may host photographs, videos, graphics, illustrations, music, audio recordings, or other creative works submitted by independent Creators. Such content is made available through the Site pursuant to licensing agreements between Bolanle Media and the respective Creators. Bolanle Media does not independently verify the ownership or rights associated with Creator content and relies on the representations and warranties provided by Creators regarding their rights to submit and license such materials. Users acknowledge that certain content on the Site may be subject to additional licensing terms, restrictions, or attribution requirements depending on the nature of the content and the applicable license.

Certain content available on the Site may include music, sound recordings, beats, instrumental tracks, or other audio works (“Audio Content”) submitted by Creators. Audio Content may involve multiple copyrights and related rights, including but not limited to:

• copyrights in the sound recording (master recording)
• copyrights in the underlying musical composition (publishing rights)
• rights of performers or featured artists
• rights in sampled material
• neighboring or related rights under applicable law

Creators who submit Audio Content represent and warrant that they own or control all rights necessary to license both the master recording and the underlying musical composition, or that they have obtained all necessary permissions, licenses, and clearances from all applicable rights holders. This includes, where applicable:

• music publishers
• songwriters
• performing artists
• record labels
• producers
• any owners of sampled or interpolated material

Creators further represent and warrant that the Audio Content does not contain uncleared samples, copyrighted material, or third-party recordings unless the Creator has obtained all necessary licenses to permit distribution and sublicensing through the Site.

Users who license Audio Content are responsible for ensuring their use complies with the applicable license terms and any applicable performing rights organization (PRO) requirements, including those of organizations such as ASCAP, BMI, SESAC, or similar entities.

Bolanle Media does not independently verify the ownership or clearance status of Audio Content and relies on the representations and warranties of the submitting Creator. To the fullest extent permitted by law, Bolanle Media shall not be liable for claims arising from unauthorized use, submission, or licensing of Audio Content by a Creator.

Bolanle Media reserves the right to remove or disable access to Audio Content if it reasonably believes such content may infringe the rights of any third party.

Forums and Interactive Services

The Site may include discussion forums or other interactive areas or services, including blogs, chat rooms, bulletin boards, message boards, online hosting or storage services, the search feature, the AI Generator, or other areas or services in which you or third parties create, post or store any content, messages, comments, materials or other items on the Site (“Interactive Areas”). You are solely responsible for your use of such Interactive Areas and use them at your own risk. By using any Interactive Areas, you agree not to post, upload, transmit, distribute, store, create or otherwise publish through the Site any of the following:

1. Any search term, generative AI prompt, message, comment, data, information, text, music, sound, photos, graphics, code or other material (“User Content”) that is unlawful, libelous, defamatory, obscene, pornographic, harmful to minors, indecent, lewd, suggestive, harassing, threatening, invasive of privacy or publicity rights, abusive, inflammatory, fraudulent or otherwise objectionable;
2. User Content that would constitute, encourage or provide instructions for a criminal offense, violate the rights of any party, or that would otherwise create liability or violate any local, state, national or international law, including, without limitation, the regulations of the U.S. Securities and Exchange Commission or any rules of a securities exchange such as the New York Stock Exchange, the American Stock Exchange or the NASDAQ;
3. User Content that may infringe any patent, trademark, trade secret, copyright or other intellectual property or contract right of any party. By posting any User Content, you represent and warrant that you have the lawful right to transmit, distribute and reproduce such User Content;
4. User Content that impersonates any person or entity or otherwise misrepresents your affiliation with a person or entity;
5. Unsolicited promotions, political campaigning, advertising, junk mail, spam, chain letters, pyramid schemes or solicitations;
6. Private information of any third party, including, without limitation, addresses, phone numbers, email addresses, or Social Security numbers and credit card numbers;
7. Viruses, corrupted data or other harmful, disruptive or destructive files; and
8. User Content that, in the sole judgment of Bolanle Media, is objectionable or which restricts or inhibits any other person from using or enjoying the Interactive Areas or the Site, or which adversely affects the availability of its resources to other users (e.g., excessive shouting, use of all capital letters, or flooding continuous posting of repetitive text), or which may expose Bolanle Media or its users to any harm or liability of any type.

Further, you agree not to delete or revise any User Content posted by any third party. Bolanle Media takes no responsibility and assumes no liability for any User Content posted, stored or uploaded by you or any third party, or for any loss or damage thereto, nor is Bolanle Media liable for any mistakes, defamation, slander, libel, omissions, falsehoods, obscenity, pornography or profanity you may encounter. Your use of Interactive Areas is at your own risk. As a provider of interactive services, Bolanle Media is not liable for any statements, representations or User Content provided by its users in any public forum, personal home page or other Interactive Area. Although Bolanle Media has no obligation to screen, edit or monitor any of the User Content posted in any Interactive Area, Bolanle Media reserves the right, and has absolute discretion, to remove, screen or edit any User Content posted or stored on the Site at any time and for any reason without notice. You are solely responsible for creating backup copies of and replacing any User Content you post or store on the Site at your sole cost and expense. Any use of the Interactive Areas or other portions of the Site in violation of the foregoing violates these Site Terms and may result in, among other things, termination or suspension of your rights to use the Interactive Areas and/or the Site. You acknowledge and agree that Bolanle Media may access, use or disclose any information about you or your use of this Site, including without limitation any User Content to comply with the law or any legal process; protect and defend the rights or property of Bolanle Media; or to protect the safety of our company, employees, customers or the public. If you post User Content to the Site, unless we indicate otherwise, you grant Bolanle Media and its affiliates a nonexclusive, royalty-free, perpetual, irrevocable and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display such User Content throughout the world in any media. You grant Bolanle Media and its affiliates and sublicensees the right to use the name that you submit in connection with such content, if they choose. You represent and warrant that (a) you own and control all of the rights to the User Content that you post or you otherwise have the right to post such User Content to the Site; (b) the User Content is accurate and not misleading; and (c) use and posting of the User Content you supply does not violate these Site Terms and will not violate any rights of or cause injury to any person or entity. Without limiting the foregoing, Bolanle Media may display, feature, promote, or showcase such content in connection with marketing, advertising, promotional campaigns, social media posts, demonstrations of the Site, and other efforts intended to promote the Platform and attract users to the Site.

Registration Data and Account Security

In consideration of your use of the Site, you agree to: (a) provide accurate, current and complete information about you as may be prompted by any registration forms on the Site (“Registration Data”); (b) maintain and promptly update the Registration Data, and any other information you provide to Company, to keep it accurate, current and complete; (c) maintain the security of your password and identification; (d) notify Bolanle Media immediately of any unauthorized use of your account or other breach of security; (e) accept all responsibility for any and all activities that occur under your account, including but not limited to, all applicable taxes and any applicable third-party fees (including but not limited to credit card fees, foreign exchange fees and cross border fees); and (f) accept all risks of unauthorized access to the Registration Data and any other information you provide to Company. Failure to comply with these obligations may result in suspension or termination of your account.

Disclaimer of Warranties

Limitation of Liability

Indemnification

You agree to defend, indemnify and hold harmless Bolanle Media, its subsidiaries, affiliates, licensors, employees, agents, third party information providers and independent contractors against any claims, damages, costs, liabilities and expenses (including, but not limited to, reasonable attorneys' fees) arising out of or related to any User Content that you post, store or otherwise transmit on or through the Site, your conduct, your use or inability to use the Site, your breach or alleged breach of the Site Terms or of any representation or warranty contained herein, your unauthorized use of the Bolanle Media Content, or your violation of any rights of another.

Governing Law and Dispute Resolution

Any dispute relating in any way to your use of the Site or the Bolanle Media Content shall be submitted to confidential arbitration in Houston, Texas, except that, to the extent you have in any manner violated or threatened to violate Bolanle Media's intellectual property rights, Bolanle Media may seek injunctive or other appropriate relief in any state or federal court in the State of Texas, and you consent to exclusive jurisdiction and venue in such courts. Arbitration under this provision shall be conducted by a single arbitrator under the rules then prevailing of the American Arbitration Association (AAA). The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by law, disputes must be brought on an individual basis and not as part of any class, consolidated, or representative proceeding.

Termination

Notwithstanding any of these Site Terms, Bolanle Media reserves the right, without notice and in its sole discretion, to terminate your account and/or to block your use of the Site. Upon termination or suspension of your account, your right to access or use the Site and any associated services may immediately cease, and Bolanle Media shall not be liable to you or any third party for any loss of access, data, or content resulting from such termination or suspension.

Copyright Infringement Policy (DMCA)

In accordance with the Digital Millennium Copyright Act (“DMCA”) and other applicable laws, Bolanle Media has adopted a policy of terminating, in appropriate circumstances and at Bolanle Media's sole discretion, account holders who infringe the intellectual property rights of Bolanle Media or any third party.

Copyright Complaints

If you believe that any material available on the Site infringes a copyright you own or control, you may submit a copyright infringement notification to Bolanle Media's designated agent with the information required under the DMCA, including identification of the copyrighted work, identification of the allegedly infringing material, your contact information, and a statement made under penalty of perjury.
